Filing Form 1, Step by Step
- Pull up your entity record and SDAT ID so the report matches what the state has on file.
- Open Maryland Business Express, the state's filing portal, or use the paper form if you prefer mail.
- Verify your registered agent listing (Form 1 uses Maryland's term for the role, resident agent). Wrong agent details are a classic source of missed legal notices.
- Work through Section III. Owned, leased, or used personal property in Maryland, or held a trader's or other local license? Then the Business Personal Property Return sections apply. Otherwise skip them. LLCs never touch Section II; that one is for corporations only.
- Pay $300 and submit. Same-day expedited handling runs $325 online with a 2:30 PM cutoff.
Late Penalties and Charter Forfeiture
No flat late fee here either. The initial penalty is 1/10 of 1% of the county assessment, with interest accruing at 2% of that penalty per 30 days late. Stop filing altogether and SDAT forfeits the entity: charter gone for domestic companies, right to do business gone for foreign ones. Either way, good standing disappears until every overdue report gets filed.
